We wish to confirm the terms of our agreement concerning the provision of your services to Wishing Well Psychics (Ireland) Limited (‘the Client’).

(A) The Contractor is engaged in business offering services in respect of fortune reading, healing and clairvoyance and has considerable skill, knowledge and experience in that field.
(B) In reliance upon that skill knowledge and experience the Client wishes to engage the Contractor to provide certain services and the Contractor on the Client’s website PsychicsVideoLive (‘the Site’) has agreed to accept the engagement on the terms and conditions of this Agreement as set out below.
(C) The Site is promoted by the Client as an interactive live streaming video chat site.

The Contractor shall provide the services to the Client on the Site from this date unless and until this Agreement is terminated by either party giving to the other not less than 2 weeks' prior written notice or as otherwise provided in this letter.

2.1 The Contractor shall use their best endeavours to promote the interests of the Client and any other company in its group and, unless prevented by ill health or accident, devote at least 12 hours in each week to carrying out the following Chat Host services for the customers of the Client (‘the Site Users’):
(a) Group video chat (‘Free Chat’), on the online website portal – PsychicsVideoLive (‘Free Chat’), relating to private fortune telling, tarot readings, healing and clairvoyance services for the Site Users going over to Private Chat as and when requested by the Site Users on an individual basis (‘Private Chat’).]
(b) Free Chat allows the Contractor an opportunity to promote their Services as available on the Site and arrange for Private Chat with the Site Users as set out below;
(‘the Services).
2.2 Group Video Chat sessions will be provided by the Contractor by video chat during a time known as ‘Free Chat’ on the Site. The Contractor may use this time in ‘Free Chat’ to promote their individual services and further promote the use of the Site to the Site Users. Site Users may seek Private Chat with the Contractor at any time during Free Chat and the Contractor will make themselves available at that time to provide Private Chat. The Contractor will be paid a fee by the Client for time spent in Private Chat only with the Site Users.
2.3 In order to register on the Site to provide the Services, the Contractor hereby agrees to register with the Site and provide the following details for the Site to set themselves up as a user:
(a) Name
(b) Address
(c) Date of Birth
(d) Copy Passport or Drivers Licence
(e) Recent Passport Sized Photograph
(f) National Insurance/Social Insurance number
2.4 In order to provide the Services, the Contractor must provide their own equipment to facilitate video chat on the Site from their location. This includes the provision of a webcam, computer and an internet connection which must be a Broadband, Cable or DSL connection. The Contractor will be responsible for sourcing and providing this equipment and the Client will not reimburse the Contractor for any costs associated with this equipment.
2.5 If the Contractor is unable to provide the Services due to illness or injury the Contractor shall notify the site as soon as reasonably practicable.
2.6 The Contractor must comply with the Client’s Site rules and regulations in respect of the chat rooms provided by the Client for the Contractor’s use when providing the Services. A copy of these rules are included at Appendix 1 and included but are not limited to the following rules:
(A) The Contractor will not ignore the Site Users. If the Client receives complaints that the Site Users are being ignored the Client may suspend the Contract’s account and they may be prevented from returning to the Site and this Agreement may be terminated with immediate effect.
(B) The Contractor agrees to chat alone on the Site. The Contractor will not allow anyone else to join them on video chat without express permission from the Client in advance. This rule applies regardless of whether the Site User requests another person join the video chat or not.
(C) The Contractor agrees not to play music in the background when on video chat on the Site. Playing music may be a violation of copyright laws and may cause annoyance to the Site Users.
(D) The Contractor agrees to abide by their chat schedule for the Site. The Contractor may set their own schedule through the administrator program provided by the Client. However by so doing the Contractor is advertising to potential Site Users that they will be online at a particular time and the Contractor is expected to adhere to their schedule. If three Site Users complaints have been logged with the Client informing the Client that the Contractor has missed their schedule without prior notice given to the Client in accordance with this Agreement, the Client may suspend the Contract’s account and they may be prevented from returning to the Site and this Agreement may be terminated with immediate effect.
2.7 The Contractor may not appoint a substitute to perform the Services on the Contractor’s behalf.
2.8 The Contractor shall ensure that the Contractor is available at all times on reasonable notice to provide such assistance or information as the Client may require.
2.9 The Contractor has no authority (and shall not hold themselves out as having authority) to bind the Client, unless the Client has specifically permitted this in writing in advance.

3.1 The Client shall collect all payments from the Site Users for the Services rendered by the Contractor to the Site Users via the payment processing facilities available on the Site.
3.2 The Contractor shall be compensated for any time spent in Private Chat. This fee shall be paid to the Contractor every second week by electronic funds transfer to the Contractor’s nominated bank account or by direct transfer into the Contractor’s PayPal Account. The Contractor's fee for any time spent in Private Chat with a Site User shall be calculated at the conclusion of each Private Chat Session.
3.3 The Client will charge the Site Users rates per minute as follows:
(A) For any time the Contractor spends in Private Chat with a Site User during the period from the 1st week to the end of the 30th week from the commencement of this Agreement, the Site Users availing of the Private Chat will be charged not more than 3 USD (United States Dollars) per minute.
(B) After the 30th week and upon agreement between the Contractor and the Client there may be an opportunity to increase the rates per minute charged to the Site Users for any time spent in Private Chat with the Contractor. Further details of this opportunity will be provided to the Contractor by the Client upon the completion of 30 weeks provision of the Services. Any such increase in rates will be at the sole discretion of the Client and the factors which will be considered by the Client when agreeing to an increase in the rates charged to Site Users will include but is not limited to the following:
(I) the level of traffic to the Site generated by the Contractor during the preceding 30 weeks;
(II) General performance in the provision of the Services;
(III) Any complaints received by the Client from the Site Users in respect of the Services either in relation to Free Chat or Private Chat.
(IV) The rates will only be increased by Agreement with the Client and any such increase must be agreed in writing and signed by both Parties. If increased rates are agreed the Contractor will be paid 40% of the income collected per minute (minus sales tax) in respect of the time spent in Private Chat by the Contractor with Site Users at the increased rates.
3.4 The Contractor shall receive Forty Percent (40%) of the Net Amount (as defined below) paid by each user of the Service. The Net Amount shall be calculated using the following as an example;
(A) The gross amount ("Gross Amount") is the total paid per minute amount by the site user for a VIP (Private) reading (e.g. 3.00 United States Dollars {USD} per minute).
(B) The net amount (‘Net Amount’) shall be calculated by dividing the gross amount by sales tax @ 23% (e.g. 3.00 USD / 1.23 = 2.44 USD)
(C) Finally all chat hosts are paid 40% of the Net Amount (e.g. based on Sales price of 3.00 USD per min:- {40% of 2.44 USD = 0.98 USD per minute} )
(D) The remainder of the payment by the users of the Site, (following payment of Contractor's fee) shall constitute compensation to the Client for providing to Contractor the web-based site and/or public or private chat rooms for Contractor's use in providing the Services to the users of the Site.
3.5 User’s refunds and chargebacks and any associated fees for such can be deducted from the Contractors fee at the discretion of
3.6 The Contractor's invoice for services rendered is automatically created by the Client's proprietary software on the Site. This will allow the Client to record the time the Contractor spends in both Free Chat and Private Chat by recording the times and durations that the Contractor logs on to the Site. This report will constitute the Contractor’s invoice and the Client will provide copies of this report to the Contractors on payment of the appropriate fee. The appropriate fee will be paid in US Dollars calculated on exchange rates on the day of payment.
3.7 The Client is entitled to deduct from any sums payable to the Contractor any sums that the Contractor may owe the Client at any time.

4.1 As part of the Services to be provided to the Client, the Contractor will also provide
(a) 12 hours of Free Chat per week for which a fee will not be payable to the Contractor and for which the Site Users will not be charged by the Client. During this period of Free Chat the Contractor can promote themselves and their private reading services as well as the general services available to users on the Site. At any stage during Free Chat the Contactor may enter Private Chat with a Site User if requested.
4.2 The Contractor may from time to time be offered the opportunity to provide further services to individual Site Users outside those referenced in Clause 2.1 which if accepted by the Contractor shall be deemed regulated by this Agreement unless otherwise agreed to in writing by the parties. Any offer of such further services by the Client will include details of the proposed Additional Services Fee for the particular Additional Services.

The Contractor may be engaged, employed or concerned in any other business, trade, profession or other activity which does not place the Contractor in a conflict of interest with the Client. The Contractor may also engage in other psychic business and activities outside of their services to the site as long as the Contractor does not promote their other Psychic activities, their own website and companies on the Site without the prior express consent of

6.1 The Contractor shall not use or disclose to any person either during or at any time after their engagement by the Client any confidential information about the business or affairs of the Client or any of its business contacts, or about any other confidential matters which may come to the Contractor’s knowledge in the course of providing the Services. For the purposes of this clause 6, confidential information means any information or matter which is not in the public domain and which relates to the affairs of the Client or any of its customers, business contacts and users of the Site.
6.2 The restriction in clause 6.1 does not apply to:
(a) any use or disclosure authorised by the Client or as required by law; or
(b) any information which is already in, or comes into, the public domain otherwise than through the Contractor’s unauthorised disclosure.
6.3 All documents, manuals, hardware and software provided for the Contractor’s use by the Client, and any data or documents (including copies) produced, maintained or stored on the Client's computer systems or other electronic equipment (including mobile phones if provided by the Client), remain the property of the Client.

7.1 The Contractor consents to the Client holding and processing data relating to the Contractor for legal, personnel, administrative and management purposes and in particular to the processing of any "sensitive personal data" as defined in the Data Protection Act 1988-2003 relating to the Contractor including, as appropriate:
(a) information about the Contractor’s physical or mental health or condition in order to monitor sick leave and take decisions as to the Contractor’s fitness to provide the Services;
(b) information relating to any criminal proceedings in which the Contractor has been involved for insurance purposes and in order to comply with legal requirements and obligations to third parties.
7.2 The Contractor consents to the Client making such information available to those who provide products or services to the Client (such as advisers), regulatory authorities, governmental or quasi-governmental organisations and potential purchasers of the Client or any part of its business.
7.3 The Contractor consents to the transfer of such information to the Client's business contacts outside the European Economic Area in order to further its business interests.
7.4 The Contractor will comply with the Client's data protection policy when processing personal data relating to any employee, worker, customer, client, supplier or agent of the Client including the Site Users.

8.1 The Contractor expressly authorises the Client to monitor, record and log all of the Contractor’s online activities on the Site (including chat, video, e-mail). The Contractor acknowledges and agrees that any material recorded or any original work made under this agreement (and all rights therein, including, without limitation, copyright) belong to and shall be the sole and exclusive property of the Client.
8.2 The Client and/or any other entity indicated by the Client, may also use and reuse, publish, distribute, edit, excerpt, exhibit and otherwise exploit the Contractor’s Chat name (real or fictional), likeness, persona, performance, voice, pictures, chat, video, audio, biological information and identification, and statements, for any and all uses, in whole or in part, in any and all media and manners now known or learned, for use throughout the world, without limitation, including in connection with the advertising, exploitation and promotion of the Site. The Client and/or by any other entity indicated by the Client, may edit the Contractor’s appearance as they see fit (and the Contractor hereby waives any and all moral rights that the Contractor may have), and the Contractor understands that the Client has no obligation to use the Contractor’s appearance(s). Still pictures may be made from video or the Contractor’s appearance(s) by any means, and the Contractor grants to the Client and/or by any other entity indicated by it and it's successors, licensees and assignees the right to use said photographs, without further payment to the Contractor in printed publications, digitally on the internet or via CD, or any other media, without restrictions. The Contractor hereby grants to the Client and/or any other entity indicated by the Client, and it's successors, licensees and assignees the right to use any photos taken by the Contractor (via webcam or by other means) and sent for publication on the site, without further payment to the Contractor in printed publications, digitally on the internet or via CD, or any other media, without restrictions. The Contractor hereby expressly waives any further financial compensation for any of the rights assigned, transferred or granted to the Client under this agreement.

9.1 The Contractor hereby assigns to the Client all existing and future intellectual property rights (including, without limitation, patents, copyright and related rights) and inventions arising from the Services for the Client. The Contractor agrees promptly to execute all documents and do all acts as may, in the opinion of the Client, be necessary to give effect to this clause 9.
9.2 The Contractor irrevocably appoints the Client to be their attorney in their name and on their behalf to execute documents, use their name and do all things which are necessary or desirable for the Client to obtain for itself or its nominee the full benefit of this clause. A certificate in writing, signed by any director or the secretary of the Client, that any instrument
or act falls within the authority conferred by this Agreement shall be conclusive evidence that such is the case so far as any third party is concerned.

The Contractor shall have personal liability for and shall indemnify the Client for any loss, liability, costs (including reasonable legal costs), damages or expenses arising from any breach by the Contractor, or any substitute engaged by the Contractor, of the terms of this Agreement, including any negligent or reckless act, omission or default in the provision of the Services.

11.1 This Agreement may be terminated by either party giving to the other not less than 2 weeks' prior written notice or as otherwise provided in this Agreement.
11.2 The Client may at any time terminate the Contractor’s engagement with immediate effect with no liability to make any further payment to the Contractor (other than in respect of any accrued fees or expenses at the date of termination) if:
(a) the Contractor is in material breach of any of their obligations under this Agreement including site rules under Appendix 1 of this agreement or
(b) other than as a result of illness or accident, after notice in writing, the Contractor wilfully neglects to provide or fail to remedy any default in providing the Services.
11.3 Any delay by the Client in exercising its rights to terminate shall not constitute a waiver of those rights.

Any Client property in the Contractor’s possession and any original or copy documents obtained by the Contractor in the course of providing the Services shall be returned to psychicsvideolive at any time on request and in any event on or before the termination of this Agreement. The Contractor also undertakes to irretrievably delete any information relating to the business of the Client stored on any magnetic or optical disk or memory, and all matter derived from such sources which is in the Contractor’s possession or under the Contractor’s control outside the premises of the Client.

13.1 The Contractor will be an independent contractor and nothing in this Agreement shall render the Contractor an employee, worker, agent or partner of the Client and the Contractor shall not hold themselves out as such.
13.2 This Agreement constitutes a contract for the provision of services and not a contract of employment and accordingly the Contractor shall fully responsible for and shall fully indemnify the Client for and in respect of:
(a) any income tax, PRSI contributions and any other liability, deduction, contribution, assessment or claim arising from or made in connection with the performance of the Services, where such recovery is not prohibited by law. The Contractor shall further indemnify the Client against all reasonable costs, expenses and any penalty, fine or interest incurred or payable by the Client in connection with or in consequence of any such liability, deduction, contribution, assessment or claim; and
(b) any liability arising from any employment-related claim or any claim based on worker status (including reasonable costs and expenses) brought by the Contractor or any substitute against the Client arising out of or in connection with the provision of the Services.
The Client may satisfy such indemnity (in whole or in part) by way of deduction from any payment due to the Contractor.

14.1 This Agreement may only be varied by a document signed by both the Contractor and the Client.
14.2 This Agreement may not be assigned by the Contractor to any third party.

15.1 This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the law of Ireland.
15.2 The courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of this Agreement.

Appendix 1 – Site Rules

1. Only the position agreed during your interview is to be used while you are broadcasting. This area is to be kept clean and tidy at all times. If you wish to make a change to your position you must first contact us at Psychics Video Live.
2. Under no circumstances is any other adult or child to be present in the agreed room during a consultation.
3. Use of derogatory language or racist remarks will result in immediate removal from live broadcasting.
4. If a broadcaster is believed to be under the influence of alcohol or drugs they will be removed from live broadcasting immediately.
5. No eating is allowed while broadcasting, there is a facility for you to take a break at any stage while you are waiting for a consultation.
6. Broadcasters are not allowed to give any personal contact information including phone numbers, personal email addresses, home addresses, Social Network Accounts or web addresses. We do not permit chat hosts to link to private social network sites or websites. During a consultation broadcasters cannot ask for or take any of the above information from the client.
7. If you wish to communicate with other broadcasters you can do so on the broadcasters forum, you should not visit another broadcaster in Free Chat.
8. Broadcasters are not allowed to give advice during consultations on financial matters, the buying or sale of assets/property; legal affairs etc. are clearly prohibited.
9. At no stage during a consultation is specific advice to be given to a client regarding death or suicide.
10. If the subject of health is touched on during a consultation clients should always be advised to seek medical advice, no client should ever be advised to stop medication, counselling or medical treatment of any kind. No dietary advice is to be given unless it is to point towards the importance of general healthy eating.
11. All clients are to be treated with equal care and attention regardless of religion, race or nationality. Personal beliefs regarding any of the above are not to be discussed.
12. As agreed you are expected to spend 12 hours per week on Free Chat, if you fail to do this 2 weeks in succession without prior agreement with the site administration you will be removed from broadcasting either on a temporary or permanent basis. While you are in Free Chat you are free to take up a consultation at any stage when requested. Psychics that use Free Chat the most tend to benefit from the greatest sales.
13. Set and respect your own chat schedule. When you set your own schedule via the administrator program, you are advertising to potential customers that you will be online at a particular time. If you miss your own schedule you miss your own opportunity to make money, if three customer complaints have been logged informing us you have missed your schedule without prior notice given to administration your account may be suspended.

1. How much money can I make?

How much money you earn depends on how often you log in and how much your customers value your time. The best readers, healers and clairvoyants can reach substantial earnings by only working part time, and you can too.

2. Can I use my apple mac to broadcast on PsychicsVideoLive?

Yes PsychicsVideoLive supports both Mac’s and PC’s for chat model broadcasts as well as end user chat.

3. What type of psychics are you looking for?

We are looking for a diverse group of readers, healers and clairvoyants; it is our wish to provide a forum for all types of psychics to share their wisdoms and gifts on a very transparent platform.

4. After I submit my application how do I know it has been accepted?

You will receive an email notifying you of your application approval by PsychicsVideoLive, usually within 24 hours. Following this an online interview will be required over Skype.

5. What if I don’t want to communicate by using my voice?

Your voice is an essential part of your time with your client, all readers, healers and clairvoyants using the site are expected to communicate verbally. If for any reason your connection with your client is very poor you may resort to using instant messaging if they wish to continue with the session.

6. I have my own website can I promote it?

This requires special permission from PsychicsVideoLive please contact us before doing so.

7. What are the rules of chatting on PsychicsVideoLive?

  • Do not ignore customers to the site. If we receive complaints that customers are being ignored and we find it to be true, your account may be suspended or you will be prevented from returning to PsychicsVideoLive
  • Chat alone. Do not allow anyone to join you on cam without permission from us first. Do not assume it is ok to do so if a customer requests it, it is not.
  • Do not play music in the background, doing so may be a violation of copyright laws and is annoying to chat customers who may not share your taste in music.
  • Set and respect your own chat schedule. When you set your own schedule via the administrator program, you are advertising to potential customers that you will be online at a particular time. 8. What type of computer, web cam and internet connection do I need?

Virtually any kind of PC, Mac and most webcams will work with PsychicVideoLive however due to the nature of our set up and our intention to give the customer the most transparent reading possible you will need an external webcam to use our software. Your internet connection must be a Broadband, Cable or DSL connection. Dial Up, Satellite or Cellular connections will not be fast enough, Wi-Fi connections vary in speed and reliability so they are not recommended.

9. Can I chat via my iPhone, iPad or other mobile device?

Not at this time however we are hoping to make a mobile version of PsychicsVideoLive available in 2014 but for now mobile chat is not supported.

10. How am I paid?

Payments are made every second week.

11. What type of customers will I be dealing with?

In most case you will find your customers are very friendly and enjoy their interaction with the site. Should you encounter a difficult or abusive customer the site has the technology to ban this customer from your chat room so you will not have to interact with them again. We have a forum where our psychics can interact with each other and this allows for a very friendly and helpful communication where tips and information can be shared.
